1. Acceptance of Terms

This Terms of Service describes how EXCELerated Success LLC ("EXCELerated Success," "we," "us," or "our") operates the website https://exceleratedsuccess.com (the "Site"), the mobile application My Online Classes/exceleratedsuccess (the "App"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and EXCELerated Success LLC, concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

By creating an account, making a purchase, scheduling a session, or otherwise using any part of our Site, App, or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.

As the founder and lead tutor of EXCELerated Success, I personally oversee all aspects of our service delivery to ensure you receive the highest quality educational experience while maintaining the professional standards outlined in these terms.

2. Description of Services

EXCELerated Success provides online educational services, including:

Online Literacy Tutoring and English Language Learning Services

• Session Format: Both group literacy tutoring and English language learning services, and one-on-one individual literacy tutoring and English language learning sessions
• Session Duration: All tutoring and language learning sessions are exactly 45 minutes in duration
• Availability: Available by appointment only
• Special Introductory Offer: Four 45-minute sessions for 30 days, totaling three (3) hours of tutoring or language learning 
• Standard Package: Two 45-minute sessions per week for eight (8) weeks, totaling twelve (12) hours of tutoring or language learning
• Platform: All tutoring and language learning sessions are conducted remotely via Zoom, integrated through Wise
• Communication: Session-related communications, including scheduling and reminders, will primarily be managed through email communications originating from Wise

Curriculum Development & Instruction Consulting Services

• Structure: Available as either project-based or retainer-based arrangements
• Focus: Development of literacy, English language learning, assessment-to-instruction customized curriculum designed to meet specific client needs
• Deliverables: As specified in individual consulting agreements

3. Eligibility and Account Creation 

Age Requirements and Account Types

• Parental Accounts: Only adults (18 years or older) may create a parental account with EXCELerated Success
• Student Accounts: Student accounts may be created by a parent or legal guardian on behalf of a student
• Minor Students: Use of services by children under 13 is subject to verifiable parental consent as outlined in our Privacy Policy

Account Responsibilities

• You agree to provide accurate, current, and complete information during the registration process
• You must update information to keep it accurate, current, and complete
• You are responsible for maintaining the confidentiality of your account password
• You are responsible for all activities that occur under your account

4. Payment Terms

Tutoring Services Payment

• Pricing: All tutoring and language learning service fees are as communicated at the time of purchase
• Payment Timing: Payment for tutoring and language learning services (e.g., the 3-hour or 12-hour package) is due in full at the time of purchase, unless otherwise agreed upon in writing
• No Partial Payments: Standard tutoring and language learning packages must be paid in full before services begin

Consulting Services Payment

• Upfront Payment: A fifty percent (50%) upfront payment is required to commence work
• Remaining Balance: Will be paid in installments after each quarterly meeting, as per the agreed-upon project schedule

Payment Methods and Processing

• Accepted Methods: We accept credit and debit cards only
• Processing: All payments are processed securely through Stripe
• Recurring Billing: We do not handle recurring billing at this time
• Late Payments: Failure to make timely payments may result in the immediate suspension or termination of services

5. Cancellation, Rescheduling, and Lateness Policy

Cancellation and Rescheduling Requirements

• Notice Required: A minimum of 24 hours' notice is required for any cancellation or rescheduling of a tutoring, consulting, or language learning session
• Missed Notice Penalty: If a session is cancelled or rescheduled with less than 24 hours' notice, the client will be charged the full fee for that session
• No Exceptions: This policy applies regardless of circumstances unless deemed an emergency by EXCELerated Success

Student Lateness Policy

• Grace Period: A grace period of 1 to 15 minutes late will be allowed for a student's arrival
• Full Fee Still Applies: The full fee for the session will still be charged, and the session will end at the originally scheduled time
• Missed Appointment: If a student is more than 15 minutes late for a scheduled session:
  • The session will be considered a missed appointment
  • The full fee will be charged
  • The tutor is not obligated to extend the session beyond its original end time
  • The tutor is not obligated to conduct the session if the student arrives significantly late

Tutor Cancellation/Lateness

In the rare event that the tutor needs to cancel or is significantly late, I will:

• Make every effort to notify you promptly
• Either reschedule the session at no additional cost
• Or issue a credit for the missed time

Course Duration Limitation

• All sessions must be completed within the original 30-day or 8-week course timeframe
• Sessions cannot be rescheduled beyond the final week of the enrolled course period
• Sessions not completed within the course duration are forfeited with no refund

6. Consulting Project Scope Changes

• Any changes or modifications to the agreed-upon scope of a consulting project must be mutually agreed upon in writing
• Such modifications may incur a change fee of $100.00 per change
• Change fees will be immediately communicated and agreed to before implementation

7. Technical Requirements and Platform Specifications

Required Technology

• High-speed internet connection (minimum 5 Mbps upload/download)
• Computer or tablet with current operating system
• Functioning webcam and microphone
• Updated web browser compatible with Zoom or Pencil Spaces
• Quiet, well-lit learning space

Platform Usage

• Primary Platform: Zoom (integrated through Wise)
• Backup Platforms: Pencil Spaces (integrated through Wise)
• User Compliance: Users must comply with the terms and conditions of Wise, Zoom, Pencil Spaces, MobyMax, and Google as third-party services used
• Platform Responsibility: We are not responsible for the functionality, availability, or policies of third-party services

8. Student and Parent Responsibilities

Specific Student Requirements

Students must:

• Arrive on time for all scheduled sessions
• Be prepared with necessary materials before a session starts
• Maintain appropriate behavior and respect for themselves, their peers, and the tutor. Please treat others the way you would like to be treated.
• Provide a quiet, distraction-free environment
• Have reliable technology ready before a session begins
• Actively participate in lessons and complete assigned tasks

Specific Parent/Guardian Requirements

Parents/Guardians must:

• Ensure timely payment of all fees
• Provide 24+ hours advance notice of scheduling conflicts
• Supervise minor students as appropriate during sessions
• Ensure reliable internet connection and technical setup
• Support student's engagement and work completion
• Communicate concerns promptly via email

9. Service Guarantees and Limitations

What We Guarantee

• A qualified tutor with experience in our subject area
• 45-minute session duration as scheduled
• Prompt communication regarding scheduling and progress
• Secure platform for online sessions
• Professional service delivery

What We Do NOT Guarantee

• Specific academic results, grades, or outcomes for any student
• Standardized test score improvements
• Uninterrupted or error-free operation of our Site or Services
• Internet connectivity or technical issue resolution
• Compatibility with all devices or browsers

Success Factors

Success depends on various factors, including:

• Student's effort and participation
• Student's foundational knowledge
• Consistent attendance and preparation
• Completion of assigned work
• Reliable technology and internet connection

10. Termination of Agreement

Termination Notice

• Either party may terminate this agreement with thirty (30) days' written notice
• Immediate termination may occur for violation of these Terms

Financial Obligations Upon Termination

• Client agrees to pay for all services rendered up to the date of termination
• No refunds for services already provided
• No refunds for missed sessions due to client cancellation or no-shows
• No refunds for sessions not completed within the 30-day or 8-week timeframes

11. Limitation of Liability

To the maximum extent permitted by law, EXCELerated Success shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits or revenues
• Loss of data, use, goodwill, or other intangible losses
• Third-party platform failures (Zoom, Wise, Google, etc.)
• Internet connectivity issues
• Student academic performance outcomes

Maximum Liability: Our total liability shall not exceed the amount paid by the client for services in the preceding 30 days.

12. Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of Florida.

Resolution Process

1. Direct Negotiation: First attempt resolution through good-faith direct negotiation
2. Mediation: If unsuccessful, participate in mediation with a mutually agreed-upon mediator
3. Arbitration: If mediation fails, binding arbitration administered by a recognized arbitration service, conducted in Tampa, Florida
4. Legal Action: Only after exhausting the above steps, limited to Florida state courts

13. Communication and Contact Policy

Official Communication Methods

• Primary: Email communications originating from Wise
• Scheduling: Through Wise platform integration
• Emergency Contact: Phone number provided during registration
• Business Hours: 9:00 AM - 5:00 PM (EST)

Response Times

• Email inquiries: Within 24 hours during business days
• Scheduling requests: Within 12 hours during business days
• Emergency situations: Within 2 hours when possible

14. Modifications to Terms

Updates and Changes

• We may revise these Terms at any time in our sole discretion
• Material changes will be communicated via email 30 days in advance
• Changes are effective immediately upon posting
• Continued use constitutes acceptance of updated Terms

15. Severability and Entire Agreement

Severability

If any provision is found invalid or unenforceable, remaining provisions continue in full effect.

Complete Agreement

These Terms, together with our Privacy Policy and individual literacy tutoring, curriculum consulting, and English language learning contracts, constitute the complete agreement between the parties.
